Mr. Goldstein
launched
his career as an entrepreneur over 20 years ago and has served
as a director, chief executive officer, and consultant to public, private and emerging companies within the United States and international markets since 1996. Mr. Goldstein has actively participated in both initial public offerings (IPO) and private placement by effectively raising funds for companies in the diverse industries where his strengths in M&A, strategic planning and transaction structuring were utilized. Mr. Goldstein is the Founder and Chief Executive Officer of Global Business Resources Inc., a company that provides M&A services, financial, operational and organizational consulting services. Additionally, Mr. Goldstein was the Founder of a highly successful emerging growth company operating as a
specialty food distributor in New York City from 1987 to 1993.
Mr. Goldstein has an MBA in International Business from the University of Miami, and holds the Series 7, 24, and 66 registrations with FINRA and is a member of the National Investment Banking Association.

Kevin J. Ernst brings more than 21 years of experience, including senior positions at industry-leading organizations (Merrill Lynch, UBS, Amex and the NYSE Euronext).
Most recently, Mr. Ernst served as Managing Director, Global Corporate Client Group, NYSE Euronext. He was responsible for increasing NYSE Euronext's presence through new business
development in Canada, Europe and Asia.
Mr. Ernst has been a frequent speaker at the KPMG Mining Executive Forum, Prospectors and Developers Association of Canada (PDAC), and the Hard Asset Investor Conferences, Industry Summit on PIPEs, the Reverse Merger Conferences and the Global Chinese Financial Forum (Shanghai).
Prior to the acquisition of the American Stock Exchange, Mr. Ernst spent 8 years as Managing Director of Equity Sales for the American Stock Exchange (AMEX) where, during his tenure, he substantially increased the Exchange's listed equities footprint in Canada and China.
He has had extensive experience with resource and oil & gas companies in the U. S. and Canada, as well as a broad range of companies in Asia, particularly in the People's Republic
Of China.
Prior to joining AMEX in 2000, Mr. Ernst was a Corporate Vice President, Director for UBS's Investment Consulting Services Group where he managed a group responsible for increasing the firm's separate account products and services.
Prior to UBS, Mr. Ernst worked in Merrill Lynch's Private Client Division for 12 years. He was a Vice President in Merrill Lynch's Wealth Management Group, responsible for the nationwide marketing of Merrill Lynch's institutional products and services to wealthy individuals and families. Previously, Mr. Ernst spent several years marketing Merrill Lynch's Corporate Stock Option Financing Program to Fortune 500 companies.
Mr. Ernst received both his Bachelor's and MBA in Finance degrees from Rutgers University. He also earned a Certified Investment Management Analyst (CIMA) designation through the Wharton School of the University of Pennsylvania and holds both his Series 7 and 66 registrations with FINRA.

Throughout her career, Ms. Van Fleet-Bailey has served as a

broker dealer firms. She has managed multiple branch offices
and several hundred registered representatives in her assigned
regions. Ms. Van Fleet-Bailey has developed compliance audit
procedures and performed numerous audits, as well as written
policies and procedures manuals for registered broker dealer
firms.
Ms. Van Fleet-Bailey is a retired United States Air Force 21 year

Prior to his career in the financial consulting industry, he was the CEO and founder of a highly successful food manufacturing business where he supplied private label food products to U.S. and foreign grocery chains and wholesale food distribution centers.
Mr. Gundlach received his Bachelors in Business from Oglethorpe University, and his MBA from the Huizenga School of Business at NSU.
He was a Rotary president, member of The International Business Council, participates with the America's Linkage program to CAFTA, and many other business and civic organizations.

At Verizon Business, Brian was responsible for the business development and management of Global & National Accounts; where he brought exceptional strategic planning, execution and leadership skills to important customer projects and deadlines. His transparent personality and determined work ethic were paramount in creating 'Trusted Advisor' relationships with his clients and will transfer well in working with the investor community and capital markets.
Brian is very involved in his local community and has served in executive positions on various Boards of Directors which include: The CIO Council, The South Florida Technology Alliance and The South Florida Telecom Forum. Brian earned his BA in History and Master's equivalent Certificate in Education from Framingham State College.
